1. Introduction

These Terms & Conditions ("Terms") govern the use of the electric.film platform ("Platform") provided by electric.film ("we", "us", or "our"), a company registered under Swiss law, located in Zürich, Switzerland. By accessing or using the Platform, you ("User", "you", or "your") agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use the Platform.

2. Services

The Platform is a decentralized film studio where members can participate in the development and funding of movies, gain exclusive access, and submit their projects for consideration.

3. User Conduct

Users are expected to follow community guidelines and behave responsibly while using the Platform. We reserve the right to revoke access for a user who violates these guidelines, engages in activities that may harm the Platform or its users, or breaches any applicable laws or regulations.

4. Account Creation and Management

To use the Platform, Users can connect an EVM-compatible wallet or register via email using a third-party provider, such as CrossMint. Users are responsible for the security of their account and any actions taken using their account. electric.film is not responsible for any loss or damage resulting from unauthorized access to a User's account.

5. Fees

Users are responsible for any on-chain gas fees associated with using the Platform, as well as any fees incurred through the use of third-party services, such as CrossMint.

6. Intellectual Property

Users retain the intellectual property rights to any content they submit to the Platform. However, by submitting content, Users grant electric.film a non-exclusive, royalty-free, worldwide license to use, display, and distribute the content for the purpose of providing the Platform's services. The AI model (stabledifusion) used on the Platform is trained on images owned by electric.film and does not violate any intellectual property rights.

7. Limitation of Liability

To the extent permitted by law, electric.film is not liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the Platform or any content, services, or products available through the Platform.

8. Dispute Resolution

Any disputes arising out of or in connection with the use of the Platform shall be governed by Swiss law and resolved through arbitration in Switzerland, in accordance with the Swiss Rules of International Arbitration.

9. Amendments to the Terms & Conditions

We reserve the right to modify these Terms at any time. Users will be notified of any changes, and continued use of the Platform after the changes have been posted constitutes acceptance of the amended Terms. If a User does not agree with the changes, they must stop using the Platform immediately.

10. Third-Party Services

The Platform may use or integrate with third-party services, such as Guild.xyz, Premint.xyz, and CrossMint.com. Users acknowledge and agree that electric.film is not responsible for the content, products, or services provided by these third parties, nor for any damages or losses resulting from the use of such third-party services. Users are encouraged to review the terms and conditions and privacy policies of these third-party services before using them.

11. Termination

We reserve the right to terminate or suspend a User's access to the Platform at any time, for any reason, including but not limited to violation of these Terms, fraud, or any other activities that may harm the Platform or its users. Upon termination or suspension, a User's right to use the Platform will cease immediately, and we may take any appropriate action, including legal action, to protect our interests.

12. Privacy

Our collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you agree to the collection and use of your personal information in accordance with our Privacy Policy.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.

14. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.

15. Force Majeure

We shall not be liable for any failure or delay in the performance of our obligations under these Terms due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, civil disturbance, epidemic, pandemic, strikes, or other labor disputes, power outages, or any act or omission of any government or regulatory authority.

16. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to any third party without your consent.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and electric.film concerning the use of the Platform and supersede all prior agreements, understandings, and representations, whether written or oral, between you and us relating to the subject matter herein.
